These Terms of Service ("Terms") govern your use of the Clip & Post platform and services ("Service") operated by CG Industries Ltd ("we", "us", or "our"), a company registered in England and Wales.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Clip & Post is a content repurposing platform that uses artificial intelligence to identify and extract short-form clips from long-form video content, and to schedule and publish those clips to connected social media platforms including TikTok, Instagram, YouTube, and Facebook.

2. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Connected Social Media Accounts

The Service allows you to connect third-party social media accounts (including TikTok, Instagram, YouTube, and Facebook) via secure OAuth authentication. By connecting these accounts, you authorise Clip & Post to:

• Publish video content to your connected accounts on your behalf
• Access basic profile information and video analytics from your connected accounts
• Schedule and manage posts to your connected accounts

You may disconnect any social media account at any time through your account settings. We do not store your social media passwords.

4. Content Ownership and Licence

You retain all ownership rights to the content you upload or connect to the Service. By using the Service, you grant us a limited, non-exclusive licence to process, clip, and distribute your content solely for the purpose of providing the Service to you.

You represent and warrant that you have all necessary rights to the content you provide and that its distribution does not infringe upon any third party's intellectual property or other rights.

5. Acceptable Use

You agree not to use the Service to:

• Upload, distribute, or publish content that is unlawful, defamatory, obscene, or otherwise objectionable
• Violate the terms of service of any connected social media platform
• Infringe upon the intellectual property rights of others
• Distribute spam, malware, or other harmful content
• Attempt to circumvent rate limits or platform restrictions
• Use the Service for any illegal purpose

6. Third-Party Platform Terms

Your use of the Service in connection with third-party platforms (TikTok, Instagram, YouTube, Facebook, etc.) is also subject to those platforms' terms of service and community guidelines. You are responsible for ensuring your content complies with all applicable platform policies. We are not responsible for actions taken by third-party platforms regarding your content or accounts.

7. Service Availability

We strive to provide reliable, continuous service, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and content data.

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, but is not limited to, any loss of revenue, data, or content resulting from actions taken by third-party platforms on your accounts.

10. Termination

We may terminate or suspend your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
